Before answering your question on the differences, I can personally attest to the Umarex version being easily one of the most impressive examples of build quality, both internally and externally, that I have seen in any AEG.

Although I have only personally inspected the insides of the Umarex version, I have seen the G&G versions out and about at games. There are several differences I can speak to.

Firstly, one very big difference between the two rifles is that the Umarex version includes pneumatic blowback, where as the "MAX" does not. The blowback on this rifle works and it works very well. It is also very easy to disable if you ever become tired of it -- simply swap out the cylinder, and the air normally pumped into the pneumatic blowback assembly is instead fired out of the air seal nozzle, giving you a mild boost in power.

Secondly, some Umarex stock in Canada is now sold with a game-friendly spring. I can see some in stock right now that are sold at 370fps. The advantage with these is that they haven't gone through any kind of two-stage export process for export to Canada -- they are straight-up "as intended". A simpler export process with fewer steps is always good. This both lowers the cost and increases the likeliness that you won't be dealing with issues from the much higher-powered spring included in the MAX.

Thirdly, the Umarex version is imported from the United States and there is a well-publicized process whereby Umarex is applying extra quality control well above and beyond what you get from the Taiwan-exported product from G&G. The main reason behind this is that Umarex USA has begun to offer 1 year warranties -- an unprecedented move in the airsoft industry. Offering these warranties has required them to be more careful with what they sell.

Fourth, I can't tell you what the internals of the MAX are like, but I can attest that the internals of the Umarex version are absolutely superb. Fit, finish, and cleanliness is excellent. The motor has good torque and the trigger response with a small 7.4V LiPo is very snappy. I'm looking forward to updating my "Tac" (folding stock) version to a full-stock version so I can feed it using a much larger-sized LiPo. Also, the stock hopup on the Umarex version is surprisingly badass for out-of-the-box performance.

For those reasons, as well as my familiarity with the product, I personally strongly recommend the Umarex version. With the difference in price you can go and find yourself a decent 7.4 LiPo and charger for this gun. The glasses and claw-mount aren't worth the extra price.

I also suggest against supporting the major importer associated with the MAX series in Canada. They're charging too much anyway.
